01 Geltung und Vertragspartner

Diese Bedingungen gelten für jede Beratung, die Du über unsere Buchungsseite auf calendly.com buchst. Dein Vertragspartner ist Nicolas Alexander Forstinger, Belladonna Systems, Gmundner Straße 18/9, 4655 Vorchdorf, Österreich, UID-Nummer ATU83624758. Andere Bedingungen gelten nur, wenn wir ihnen schriftlich zustimmen.

Wir arbeiten ausschließlich für Unternehmer. Mit der Buchung bestätigst Du, dass Du als Unternehmer im Sinne von § 1 Konsumentenschutzgesetz buchst. Verbrauchern bieten wir die Beratung nicht an.

02 Leistung

Wir bereiten die Beratung anhand Deiner Antworten auf die Fragen bei der Buchung vor, führen zum gebuchten Termin ein Gespräch von 60 Minuten per Video über Zoom und schicken Dir danach per E-Mail eine kurze schriftliche Einschätzung mit dem empfohlenen Weg und den zu erwartenden Kosten.

Die Beratung ist eine fachliche Einschätzung auf Grundlage Deiner Angaben. Ob und wie Du sie umsetzt, entscheidest Du.

03 Preis, Zahlung und Rechnung

Es gilt der Preis, den die Buchungsseite bei der Buchung zeigt: derzeit 350 Euro zuzüglich 20 % Umsatzsteuer, also 420 Euro. Du bezahlst bei der Buchung auf der Buchungsseite; die Zahlung wickelt Stripe ab.

Beauftragst Du uns danach mit einem Projekt, rechnen wir den Nettobetrag der Beratung voll auf den Projektpreis an.

Einen Rabattcode lösen wir nur für Deine erste Beratung ein und nur bis zu dem Datum, das wir beim Code nennen.

Die Rechnung bekommst Du nach dem Termin per E-Mail als PDF. Mit der Buchung stimmst Du zu, dass wir Rechnungen elektronisch übermitteln (§ 11 Abs. 2 Umsatzsteuergesetz).

04 Verbindliche Buchung, Verschieben und Absagen

Die Buchung ist verbindlich. Sagst Du ab, erstatten wir den bezahlten Betrag nicht.

Verschieben. Über den Link in der Buchungsbestätigung verschiebst Du den Termin, solange der neue Termin mindestens sieben Tage in der Zukunft liegt.

Absagen. Sagst Du ab, schicken wir Dir per E-Mail einen Link für einen Ersatztermin, ohne dass Du noch einmal bezahlst. Der Link gilt für eine Buchung. Der Ersatztermin liegt frühestens sieben Tage nach dem Versand des Links und spätestens 60 Tage nach Deiner Absage; das letzte Datum steht in der E-Mail. Buchst Du in dieser Frist keinen Ersatztermin, bleibt das Entgelt bei uns, und wir stellen es Dir am letzten Tag der Frist in Rechnung. Einen Ersatztermin kannst Du verschieben; sagst Du ihn ab, gibt es keinen weiteren.

Nicht erschienen. Nimmst Du am Termin nicht teil, gilt die Beratung als durchgeführt.

Absage durch uns. Müssen wir einen Termin absagen, schicken wir Dir einen Link für einen Ersatztermin, ohne dass Du noch einmal bezahlst. Findest Du darüber keinen passenden Termin, erstatten wir den vollen Betrag.

05 Deine Mitwirkung

Beantworte die Fragen bei der Buchung vollständig und richtig; sie sind die Grundlage unserer Vorbereitung. Trag keine Namen oder Daten Deiner Kunden oder Mitarbeiter ein. Verspätest Du Dich, verkürzt sich das Gespräch entsprechend.

06 Haftung

Wir haften nur für Schäden, die wir vorsätzlich oder grob fahrlässig verursachen. Für Personenschäden haften wir auch bei leichter Fahrlässigkeit.

07 Datenschutz

Wie wir mit den Daten aus Deiner Buchung umgehen, steht in Punkt 08 der Datenschutzerklärung.

08 Recht und Gerichtsstand

Es gilt österreichisches Recht unter Ausschluss der Verweisungsnormen des internationalen Privatrechts und des UN-Kaufrechts. Gerichtsstand ist das für 4655 Vorchdorf sachlich zuständige Gericht.

09 Schlussbestimmungen

Ändern wir diese Bedingungen, gelten die neuen nur für Buchungen danach. Ist eine Bestimmung unwirksam, bleiben die übrigen wirksam; an ihre Stelle tritt eine wirksame, die ihrem Zweck am nächsten kommt.

01 Scope and contracting party

These terms apply to every consultation you book through our booking page on calendly.com. Your contracting party is Nicolas Alexander Forstinger, Belladonna Systems, Gmundner Straße 18/9, 4655 Vorchdorf, Austria, VAT number ATU83624758. Other terms apply only if we agree to them in writing.

We work only for businesses. By booking you confirm that you book as a business within the meaning of § 1 of the Austrian Consumer Protection Act (Konsumentenschutzgesetz). We do not offer the consultation to consumers.

02 What we deliver

We prepare the consultation from your answers to the questions at booking, hold a 60-minute video conversation on Zoom at the booked time and afterwards email you a short written assessment with the recommended way and the expected cost.

The consultation is a professional assessment based on what you tell us. Whether and how you put it into practice is your decision.

03 Price, payment and invoice

The price shown on the booking page when you book applies: currently 350 euros plus 20 % VAT, that is 420 euros. You pay when you book, on the booking page; Stripe handles the payment.

If you then commission a project from us, we credit the net amount of the consultation in full against the project price.

We accept a discount code only for your first consultation and only until the date we state with the code.

You receive the invoice by email as a PDF after the appointment. By booking you agree that we send invoices electronically (§ 11(2) Austrian VAT Act).

04 Binding booking, rescheduling and cancelling

The booking is binding. If you cancel, we do not refund the amount paid.

Rescheduling. With the link in the booking confirmation you can move the appointment, as long as the new date is at least seven days ahead.

Cancelling. If you cancel, we email you a link for a replacement appointment, without paying again. The link is valid for one booking. The replacement appointment lies at least seven days after the link was sent and no later than 60 days after your cancellation; the last date is in the email. If you book no replacement within that period, the fee stays with us and we invoice it on the last day of the period. You can move a replacement appointment; if you cancel it, there is no further one.

No-show. If you do not attend the appointment, the consultation counts as held.

Cancelled by us. If we have to cancel an appointment, we send you a link for a replacement appointment, without paying again. If you find no suitable date through it, we refund the full amount.

05 Your part

Answer the questions at booking fully and correctly; they are the basis of our preparation. Do not enter names or data of your customers or employees. If you are late, the conversation is shortened accordingly.

06 Liability

We are liable only for damage we cause intentionally or through gross negligence. For personal injury we are also liable for slight negligence.

07 Privacy

How we handle the data from your booking is set out in section 08 of the privacy policy.

08 Law and jurisdiction

Austrian law applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is the court with subject-matter jurisdiction for 4655 Vorchdorf.

09 Final provisions

If we change these terms, the new terms apply only to bookings made afterwards. If a provision is invalid, the others remain valid; it is replaced by a valid one that comes closest to its purpose.
